款商談補(bǔ)充協(xié)議所產(chǎn)生的費(fèi)用由甲方承擔(dān)。第九條甲方責(zé)任1、甲方保證其有資格轉(zhuǎn)讓項(xiàng)目,并保證項(xiàng)目符合法定轉(zhuǎn)讓條件;2、甲方保證項(xiàng)目不存在為第三人或甲方債務(wù)擔(dān)保的情形;3、甲方保證項(xiàng)目轉(zhuǎn)讓時(shí),不存在法院查封、扣押等情形。4、甲方保證項(xiàng)目轉(zhuǎn)讓時(shí)不存在有其他行使《中華人民共和國合同法 》第 286 條規(guī)定的優(yōu)先受償權(quán)的情形;5、甲方應(yīng)當(dāng)如實(shí)向乙方提供項(xiàng)目轉(zhuǎn)讓時(shí)現(xiàn)狀情況;6、甲方應(yīng)按本協(xié)議第 4 條第 1 款約定及時(shí)向乙方提供許可證件和法律文件,并積極協(xié)助乙方向有關(guān)部門辦理相關(guān)轉(zhuǎn)移手續(xù);7、甲方應(yīng)對(duì)本協(xié)議任何一方有關(guān)事宜保密,并不得將甲方在與乙方商談項(xiàng)目轉(zhuǎn)讓的過程中及以后在履行本協(xié)議的過程中所獲取乙方任何商業(yè)秘密(資料)泄露(包括故意或過失)給與本協(xié)議無關(guān)的任何其它方或個(gè)人,除非商業(yè)秘密(資料)已正當(dāng)?shù)貫楣娝ぁ?、甲方應(yīng)按本協(xié)議約定履行其他義務(wù).第十條乙方責(zé)任1、乙方保證有資格受讓項(xiàng)目,并有能力繼續(xù)開發(fā)建設(shè)本協(xié)議項(xiàng)目;2、乙方應(yīng)當(dāng)按本協(xié)議第五條的約定向乙方支付項(xiàng)目轉(zhuǎn)讓費(fèi);3、乙方應(yīng)當(dāng)按本協(xié)議第五條的約定向乙方支付項(xiàng)目利潤分成;4、乙方應(yīng)積極協(xié)助甲方處理項(xiàng)目轉(zhuǎn)讓前所簽訂的協(xié)議事宜;5、乙方保證履行甲方已按本協(xié)議第八條處理的后由乙方履行的有關(guān)設(shè)計(jì)、施工、工程合同范本監(jiān)理、商品房預(yù)售等合同;6、乙方應(yīng)對(duì)本協(xié)議任何一方有關(guān)事宜保密,并不得將乙方在與甲方商談項(xiàng)目轉(zhuǎn)讓的過程中及以后在履行本協(xié)議的過程中所獲取甲方任何商業(yè)秘密(資料)泄露(包括故意或過失)給與本協(xié)議無關(guān)的任何其它方或個(gè)人,除非商業(yè)秘密(資料)已正當(dāng)?shù)貫楣娝ぃ?、甲方應(yīng)按本協(xié)議約定履行其他義務(wù)。第十一條違約責(zé)任1、甲方違約責(zé)任(1)甲方若沒有資格轉(zhuǎn)讓項(xiàng)目或項(xiàng)目不符合法定轉(zhuǎn)讓條件,而乙方不知曉或不可能知曉的,致使本協(xié)議無效時(shí),乙方應(yīng)向甲方賠償項(xiàng)目轉(zhuǎn)讓費(fèi)的__%,若乙方實(shí)際損失超過此賠償額時(shí),超過部分甲方應(yīng)據(jù)實(shí)賠償。(2)甲方未按本協(xié)議第四條約定按時(shí)向乙方轉(zhuǎn)交有關(guān)證件的或甲方未按本協(xié)議第九條第 1 款至第 5 款的義務(wù)(有一款即可)時(shí),視為甲方根本違約,乙方有權(quán)解除協(xié)議,甲方退還乙方全部已付費(fèi)用,并按項(xiàng)目轉(zhuǎn)讓費(fèi)的__%向乙方支付違約金,若乙方實(shí)際損失超過此違約金時(shí),超過部分甲方應(yīng)據(jù)實(shí)賠償。(3)甲方?jīng)]有第(__)款的根本違約情況下,而未按本協(xié)議第九條第
